1. Agreement to Terms

By accessing or using TiltedTrades ("Service," "Platform," "we," "us," or "our") at https://app.tiltedtrades.com and https://tiltedtrades.com, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and TiltedTrades. We reserve the right to modify these Terms at any time. Continued use of the Service following any changes constitutes your acceptance of the revised Terms.

2. Description of Service

TiltedTrades provides a cloud-based trading journal and analytics platform designed for futures traders. Our Service includes:

  • Trade Journaling: Record, track, and analyze your trading executions
  • Performance Analytics: View statistics, equity curves, and performance metrics
  • File Uploads: Import trade data from broker statement files (CSV, Excel)
  • Broker Integrations: Connect to supported brokers for automatic trade synchronization (including but not limited to Tradovate, Rithmic, and other supported platforms)
  • Calendar Views: Visualize trading activity by day, week, or month
  • Journal Entries: Document trade rationale, setups, and notes
  • Leaderboard: Optional public ranking of anonymized performance metrics

3. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Be legally capable of entering into binding contracts
  • Not be barred from using the Service under applicable law
  • Not have been previously suspended or removed from the Service

By registering, you represent and warrant that all information you provide is accurate, current, and complete.

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account by providing a valid email address, password, and other requested information. You are responsible for maintaining the accuracy of your account information.

4.2 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use or security breach

We will not be liable for any loss or damage arising from your failure to protect your account credentials.

4.3 One Account Per User

Each user may maintain only one active account. Creating multiple accounts may result in termination of all associated accounts.

5. Broker Connections and API Integrations

5.1 Third-Party Broker Services

The Service may offer integrations with third-party brokers and platforms ("Connected Brokers") including but not limited to:

  • Tradovate
  • Rithmic
  • CQG
  • NinjaTrader
  • Other supported platforms

5.2 Authorization

By connecting your brokerage account, you authorize TiltedTrades to access your trade execution data, account information, and related data through the broker's API or data feed services. This access is read-only and is used solely to import and display your trading data.

5.3 No Broker Affiliation

TiltedTrades is not affiliated with, endorsed by, or partnered with any Connected Broker unless explicitly stated. We do not execute trades, provide order routing, or have access to your funds. Connected Brokers may have their own terms of service and privacy policies that govern your use of their services.

5.4 Broker Connection Disclaimer

We are not responsible for:

  • Service interruptions or outages at Connected Brokers
  • Data accuracy issues originating from Connected Brokers
  • Changes to broker APIs that affect our integration
  • Any issues you may experience with your brokerage account

5.5 Broker Connection Limitations and Session Termination

IMPORTANT: READ THIS SECTION CAREFULLY BEFORE USING BROKER SYNC

Brokers and data feed providers (including but not limited to Rithmic, CQG, and DxFeed) may enforce strict limits on the number of simultaneous connections per account.

Connection Behavior:

  • TiltedTrades will establish one or more connections to your broker's servers on your behalf to retrieve your trade data
  • These connections count against your account's total allowed concurrent connections
  • If your account is at or near its connection limit, initiating a sync may cause your broker to terminate your existing sessions on other platforms, including but not limited to:
    • Trading platforms
    • Charting software and market data feeds
    • Any other application connected to the same broker account

Your Acknowledgment and Acceptance:

By using any broker sync feature, you acknowledge and agree that:

  1. You understand that syncing may terminate active connections on other platforms
  2. You have verified that you are not actively trading or using critical applications that require an uninterrupted broker connection
  3. You accept full responsibility for any consequences resulting from connection termination, including but not limited to:
    • Disconnection from active trading sessions
    • Inability to monitor or manage open positions
    • Missed trading opportunities
    • Any trading losses that may occur as a result

Assumption of Risk:

YOU ASSUME ALL RISK ASSOCIATED WITH INITIATING A BROKER SYNC. TILTEDTRADES SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR HARM ARISING FROM:

  • Termination of your sessions on other platforms
  • Interruption of your trading activities
  • Any trading losses incurred during or after a sync operation
  • Inability to access your trading platform or manage positions

Each Sync Requires Acknowledgment:

You will be required to acknowledge this risk each time you initiate a broker sync. By proceeding with the sync after this acknowledgment, you confirm that you have read, understood, and accepted these terms.

6. User Content and Data

6.1 Your Data

You retain ownership of all trade data, journal entries, notes, and other content you upload or create on the Platform ("User Content"). By uploading User Content, you grant TiltedTrades a non-exclusive, worldwide, royalty-free license to store, process, and display your User Content solely for the purpose of providing the Service.

6.2 Public Content

If you choose to make any content public (such as participation in the leaderboard or public profile features), you grant TiltedTrades a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such public content.

6.3 Prohibited Content

You agree not to upload content that:

  • Is unlawful, defamatory, obscene, or harmful
  • Infringes on intellectual property rights of others
  • Contains malware, viruses, or malicious code
  • Violates any applicable law or regulation

6.4 Data Accuracy

You are solely responsible for verifying the accuracy of your trade data. TiltedTrades is not responsible for errors in data imported from broker connections or uploaded files.

7. Subscriptions and Payments

7.1 Free and Paid Plans

The Service may offer both free and paid subscription tiers. Features and limitations for each tier are described on our pricing page.

7.2 Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). Payment is processed through third-party payment processors (such as Stripe).

7.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

7.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have paid.

7.5 Refund Policy

All payments are final and non-refundable, except:

  • Where required by applicable law
  • At our sole discretion in cases of documented service deficiencies that we are unable to resolve
  • Pro-rated refunds for annual subscriptions cancelled within 7 days of purchase

7.6 Price Changes

We reserve the right to modify pricing at any time. Price changes will be communicated in advance and will apply to the next billing cycle. If you do not accept the new pricing, you may cancel before the change takes effect.

8. Intellectual Property

8.1 Our Property

The Service, including its design, software, source code, graphics, logos, and all content created by TiltedTrades, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation.

9. Prohibited Activities

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Use automated scripts, bots, or scrapers to access the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Impersonate any person or entity
  • Share your account credentials with others
  • Use the Service for competing products or services
  • Circumvent any security features or access restrictions

10. Disclaimers

10.1 No Investment Advice

THE SERVICE IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. TILTEDTRADES DOES NOT PROVIDE INVESTMENT ADVICE, TRADING RECOMMENDATIONS, OR FINANCIAL GUIDANCE.

We do not recommend the purchase or sale of any securities or financial instruments. Any decisions you make based on information displayed in the Service are your sole responsibility.

10.2 No Guarantee of Results

Past trading performance displayed in the Service does not guarantee future results. Trading futures involves substantial risk of loss and is not suitable for all investors.

10.3 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Data displayed will be accurate or complete
  • Any defects will be corrected
  • The Service will meet your specific requirements

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TILTEDTRADES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits or revenue
  • Loss of data
  • Trading losses
  • Business interruption
  • Any damages arising from your use of the Service

11.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11.3 Basis of the Bargain

The limitations in this section reflect the allocation of risk between the parties and are an essential element of the basis of the bargain between us.

12. Indemnification

You agree to indemnify, defend, and hold harmless TiltedTrades, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your User Content

13. Termination

13.1 Termination by You

You may terminate your account at any time by deleting your account through the settings page or by contacting us at support@tiltedtrades.com.

13.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, including for:

  • Violation of these Terms
  • Suspected fraudulent or illegal activity
  • Non-payment of fees
  • Extended periods of inactivity
  • At our sole discretion for any reason

13.3 Effect of Termination

Upon termination:

  • Your right to access the Service immediately ceases
  • We may delete your account data after a reasonable period
  • Provisions of these Terms that by their nature should survive termination shall survive

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware or remotely, at our discretion.

14.3 Class Action Waiver

YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

14.4 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TiltedTrades regarding your use of the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.

We may provide notices to you via email, in-app notifications, or by posting on the Service. You may contact us at support@tiltedtrades.com.

16. Risk Disclosure

TRADING FUTURES INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS.

  • You may lose more than your initial investment
  • Past performance is not indicative of future results
  • You should only trade with capital you can afford to lose
  • You should consult with a qualified financial advisor before making any trading decisions

TiltedTrades is a journaling and analytics tool only. We do not provide trading signals, recommendations, or financial advice of any kind.
